  1. Registering a Company or Business at the Uganda Registration Services Bureau (URSB) to Obtain a Certificate of Incorporation. Registering a company in Uganda involves several steps handled by the Uganda Registration Services Bureau (URSB). Here’s a simplified breakdown:
  2. Name Check and Reservation: Search for a company name and reserve your preferred choice through URSB.

Registering a Local Company

While we support you to register a Local Company limited by Shares, we shall need to Reserve the name to be used and then file the following documents with the Registrar of Companies:

  • Form 1 – Notice of Beneficial Owners Particulars
  • Form 20 – Notification of Appointment of Director and Secretary For your Company.
  • Form A1 – Statement of Nominal Capital For your company
  • Memorandum and Articles of Association Other Company forms
  • A1 – Statement of Nominal Capital
  • Form For Confirmation of Official Contact Information
  • Form 18
  • Form S.18 For Registration of a Company
  • Notice Of Situation of The Registered Office and The Registered Postal Address

To register a Local company limited by guarantee, we shall reserve the name to be used and then submit the following documents to the Registrar of Companies:

  1. Company Registration Form (s.18)
  2. Memorandum and Articles of Association;

When you have all the documents ready, you can pick up assessment forms from our office or do a self-assessment and pay registration fees and stamp duty. Upon registration, the Registrar will issue a certificate of incorporation within two working days.

The following forms must be filed after the company has been registered (Company Returns).

  1. Company Form 20 – Particulars of Directors and Secretaries (Within 14 days)
  2. Company Form 18 – Notice of Situation of Registered Office & Postal Address (within 14 days)
  3. Company Form 10 – Return of allotment (within 60 days)
  4. Form of Annual Return for a company limited by shares (to be filed once every year).

Online Registration of a Foreign Company

This refers to a company that is incorporated in another country. It must be registered if a company wishes to conduct business in Uganda. To register a foreign company, the following documents are required:

  1. Certified copies of the Memorandum of Articles of Association/Charter/ Constitution and Certificate from the country of origin were duly witnessed.
  2. Registration forms:
  3. Form 24 – Particulars of Directors and Secretary
  4. Form 13 – Statement of all subsisting charges
  5. Form 25—List of Names and Addresses of Persons Resident in Uganda authorized to accept service on behalf of the company.
  6. Form 26 – Address and Principal Office of Company.

What is a company?

A company, abbreviated as “co.” is a legal entity representing an association of individuals with a specific purpose, whether natural persons, legal entities, or a combination of both. Company members share a common goal and come together to achieve specific, stated objectives.

A business idea is a concept that can be used for financial gain. It is usually centered on a product or service that can be offered for money. An idea is the first milestone in building a successful company. A company is a registered association with a legal person, an independent legal entity with perpetual succession, a common seal for its signatures, a typical capital comprised of transferable shares, and carrying limited liability.

It is also easy to explain a company as a legal entity representing an association of people, whether natural, legal, or a mixture of both, with a specific objective. Company members share a common purpose and unite to achieve specific, declared goals.

Hence, to understand the meaning of a company, it is essential to look at the distinctive features;

KEY FEATURES OF A COMPANY

A Company is a Separate Legal Entity

One of the most distinctive features of a Company, as compared to other organizations, is that it acquires a unique character of being a separate legal entity. Hence, when you register a company, you give it a legal personality with similar rights and powers as a human being.

A company’s existence is distinct and separate from that of its members. It can own property and bank accounts, raise loans, incur liabilities, and enter contracts. According to Law, it is different from the Memorandum of Association subscribers.

Perpetual Succession

Another essential feature of a Company is that it continues to carry on its business notwithstanding the death or change of its members until it is wound up on the grounds specified by the Act. Further, the company’s shares change hands infinitely, but that does not affect the company’s existence.

Limited Liability

One of a company’s essential features is its members’ limited liability. The liability of a member depends on the type of company.

In a limited liability company, the company’s debts do not become the debts of its shareholders. In such a case, the liability of its members is limited to the nominal value of the shares they hold. The shareholders cannot be asked to pay more than the unpaid value of their shares.

In the case of a company limited by guarantee, members are liable only to the extent of the amount they guarantee. Further, this liability arises only when the company goes into liquidation.

Finally, if it is an unlimited company, its members’ liability is also limitless. But such instances are sporadic.

Artificial Legal Person

Another one of the features of a company is that it is known as an Artificial Legal Person.

  • Artificial – because its creation is by a process other than natural birth
  • Legal – because its creation is by law and
  • Person – because it has rights similar to those of a human being.
  • Further, a company can own property and bank accounts and do everything a natural person can except go to jail, marry, take an oath, or practice a learned profession. Hence, it is a legal person in its sense.

It is a non-human entity recognized by law as having legal rights and is subject to obligations.

Since a company is an artificial person, it needs humans to function. These humans are Directors who can authenticate the company’s formal acts on their own or through its common seal.
